Commercial Agreements
Our firm has a vast experience in representing clients in a wide variety of commercial transactions, and considerable knowledge regarding tax consequences and structuring of transactions. The firm’s lawyers have proven reputation in handling the various stages of the transactions until their successful consummation for all the parties involved.

We take pride in our ability to familiarize ourselves with all the details of the transactions without losing sight of the “big picture.” Among the commercial transactions the firm has handled are investments in Israeli corporations and projects by foreign investors, acquisition of shares and assets, mergers and acquisitions (including acquisitions of public corporations traded on various exchanges across the world), manufacturing agreements, research and development agreements, license agreements, marketing and distribution agreement, sale and purchase agreements and so forth.

On–Going Representation
Our firm provides legal services and on-going representation to a wide variety of Israeli and international entities, including private and public corporations. These services include legal advice to companies in all areas of commercial law, including tax, employment law, computer and software law and so forth.
We also provide our clients with reporting services to securities authorities and the different exchanges, in Israel, New-York and London.

Capital Markets

Capital Markets And Securities Law
Our firm has significant experience in the capital markets area and accompanies its clients in equity and bond offerings, in Israel and abroad. Our firm specializes, among other things, in the representation of dual-listed companies, which are traded in Israel and the US/Europe.

In addition, our firm accompanies public companies in their on-going reporting activity to the market, and all matters involving Israeli securities and corporate law, including correspondence with the securities authorities and the securities exchange, in Israel and abroad. The firm advises clients concerning corporate governance and assists them in the preparation of compensation policies and internal enforcement programs in connection with Israeli securities law’s compliance.

Initial Public Offerings (IPO)
Our firm provides services of preparations for public offerings, drafting prospectuses with the Securities Autority and to Stock Exchange for foreign investors and corporations who are interested in raising capital through public offering of shares or bonds in the Israeli capital market.

Our firm is heavily involved in the Israeli capital markets. We just recently closed the IPO of Michman b.s.d ltd on the TASE. Shares are traded since February 9 th 2021. We wish Michman great success. 


Internal Compliance Program

In February 2011, a new legislation has been introduced, which grants the Israeli Securities Authority, a right to impose administrative fines and sanctions on violators of the Securities Law. Within the legislation, a special supervisory responsibility was imposed on the CEO of the company, if a violation occurred, it is presumed that it was made by the CEO, unless the company has adopted Internal Compliance Program, and undertook additional required steps, such as its due execution. Therefore adopting adequate Internal Compliance Program, may transfer the burden of proof to the Securities Authority, and may prevent administrative sanction procedures and fines in amounts of millions of NIS imposed on the CEO and the company.

Our Law Office has extensive experience in preparing internal control programs, including the Internal Compliance Program for public companies, including for dual listed companies.

FinTech / Canada  
Our firm is very active in fundraising for Canadian start up companies in the FinTech arena, located in the Atlantic provinces.
We also assist such tech companies in joint ventures, co-operations and other business arrangements with strategic partners. List of companies already under our assistance and may be sent upon request. Atlantic Provinces is a challenging and exiting hub for start -ups and more mature companies in the various spheres of the Fintech industry with great entrepreneurs and compelling eco -system and experts .We aim in the near future also to combine Israeli tech talents with Canadian talents in the Fintech business.

Companies Our firm has rich experience in the area of capital markets and in the representation of investors in various transactions concerning start-up companies. Our lawyers have a cast experience in all the aspects of commercial transactions. As part of our engagement, we represent clients in the capital markets area and perform due-diligence, companies’ assessment studies and complex legal examinations for investors.

Our firm represents high-tech companies, handles manufacturing agreements, OEM agreements, ESOP agreements, research and development agreements, license and distribution agreements, marketing agreements and sale and purchase agreements. The firm is involved in structuring the investment transactions so as to tailor their terms to the client and its financing needs, negotiating the terms of transaction, preparing the transaction documents and providing legal opinions in matters required by the investors. Our firm accompanies mergers and acquisitions, convertible bonds and other forms of equity and debt financing.

Investments In Medical Equipment Companies
The Office represents a Japanese medical corporation from the first line of distributors of medical equipment in Japan. The Office deals with transactions for this corporation, including marketing, distribution, investment agreements, integrated agreements, etc.

Financing From Italy and Germany 
Our firm have strong ties and networking with significant financial investors (from a variety of investors, including financial institutions, private equity funds, strategic investors, etc.) based in Italy and Germany. We are facilitating significant amounts of investments through our investors.
our office represent funds and other investors from North Italy (Milan, Torino ,etc.) interested in investments in Israeli hi tech companies in several spheres, including cyber, food tech, automotive vehicle and all surroundings of the car (including batteries ,charging ,etc.).

Our firm is involved in the infrastructure business (including roads ,railways, tubes, etc.) and energy - clean / green energy and turbines (activated by gas or otherwise).
